Okay, I've decided to counter job #2 for those that read my thread yesterday. Does this email sound ok? I've never countered a job offer before (my current job was non-negotiable).
Hi HM,
Thank you so much for the offer; I also hope we can come to an agreement. I'd like to counter your offer with a base salary of $125,000 and a signing bonus of $10,000. I am currently up for promotion at my job which would be a minimum of 6% increase on my base salary (putting me above where the current offer is). Given I'm not unhappy where I am at - in fact, they've agreed to double my client load as I've been requesting for awhile - I would need at least a 10% increase in base to leave. The signing bonus would be to make up for some of the stock I'm leaving on the table at <current company> and to bridge the gap between now and 3 years when the RSUs would vest. I look forward to hearing your response and hope we can come to mutual agreement soon.
I would change to focus away from you and towards them. Most companies don't care about your current job - the promotion or work-load - they care about what you're bringing to them.
I'd do something like this ... (not nearly perfect (too many hopes and feels)- but just to demonstrate the change in tone) "Knowing more about the role, and your expectations, I believe a salary of *** would be fair compensation. With my education, proven success in the field and experience managing a similar sized team to meet and exceed corporate goals (add specifics here), I can lead this department towards the goals we talked about in the interview."
I'd personally negotiate first on salary, suggesting a salary of $135,000 (but I can't remember the numbers from your first post). See how the negotiations go, and if they can't go much higher, you could use the $10,000 to get you to where you need to be.
(disclaimer - I hate negotiating, but with the help of this board did fairly well for my current position)

I would open with, "Thank you for this opportunity, I'm really excited about it. The benefits look good, but I'm looking for a higher starting salary. Given my experience and the market in this field, I'm proposing $125k + $10k signing bonus."
Have all that other info in your back pocket as rationale for your request. And have a minimum you're willing to accept, if they can't meet your #s

At this point in my career, I think it is prudent to transition only for a marked improvement, in all areas, including salary (this sentence could be better, but this is the point I want to convey). Therefore, I am requesting a base salary of $125,000 and a signing bonus of $10,000, resulting in a package I believe is more commensurate with my experience. I look forward to hearing your response and hope to join X/the X team soon!

I think you should call if you are better on the phone. If you are more likely to be nervous and not come across confidently, I think it is fine to write, particularly if the initial offer was sent in writing. If you do write, I would amend to something like the above.

Thank you - I called, we played phone tag for a bit and so I sent the email. The HM came back and asked for rationale, which I provided. He said he would have to discuss with his boss and get back to me. I also know he is on vacation today/tomorrow so he might not come back to me before Monday, though I was hoping to get it nailed down this week.
Wanted to update you all - I signed my offer this morning. The highest they could go was 115k base, but they did agree to the 10k signing bonus. I also asked for 2 extra vacation days and received those as well.
